Genexy Terms of Use

These Terms of Use (the “Terms”) govern the use of the Genexy platform, software, website, applications, online services, licenses, and related features provided by U:BIT s. r. o.

By using Genexy, the user confirms that they have read these Terms and agree to them to the extent applicable to them.

1. Genexy Operator

Genexy is operated by:

Hereinafter referred to as “U:BIT”, “Genexy”, “we”, “us”, or “our”.

2. What Genexy Is

Genexy is a software and developer platform intended primarily for creating, editing, managing, automating, testing, and otherwise processing software projects.

Genexy may include, in particular:

  • Genexy IDE for computers, mobile devices, and tablets,
  • web interfaces and applications,
  • Genexy CLI,
  • APIs and integration interfaces,
  • remote and online features,
  • artificial intelligence features and integrations,
  • remote access and related network services,
  • user accounts,
  • the genexy.io website,
  • FREE and PRO functionality,
  • Alpha, Beta, Preview, and Early Access versions,
  • documentation and other related services and tools.

Not all features or platforms must be available at the same time or to all users.

3. Acceptance of the Terms

These Terms constitute the contractual terms for the use of Genexy between the user and U:BIT.

The user may accept them, in particular, by:

  • creating an account,
  • confirming the relevant checkbox or similar mechanism,
  • activating a license,
  • downloading or installing Genexy,
  • or using Genexy after the Terms have been made reasonably available to them.

Use of features available without a user account is also subject to compliance with these Terms.

If the user does not agree to the Terms, they must not use Genexy.

The Privacy Policy provides information about the processing of personal data. Where applicable law requires separate consent, such consent will be requested separately.

4. Minor Users

Genexy is not generally restricted only to persons over 18 years of age.

However, if under the law applicable to the user the user cannot independently enter into a contract, accept these Terms, or provide a required consent, the necessary consent or representation of their legal guardian is required.

U:BIT may, in appropriate cases, request confirmation that this condition has been met.

5. FREE Version

Part of Genexy may be available free of charge as FREE.

U:BIT may change the scope of FREE functionality over time, including by adding or removing features, changing limits, or moving functionality between plans.

Providing a particular feature free of charge does not create an entitlement to its permanent free availability.

This does not affect user rights that cannot be contractually limited under applicable law.

6. User Account

Some features may be used without an account. Other features, in particular PRO or certain online services, may require a Genexy account.

The account is linked primarily to the user’s email address.

The user is required to:

  • provide truthful and up-to-date information,
  • reasonably protect their login credentials,
  • not make the account available to unauthorized persons,
  • and promptly report any suspected compromise of the account.

For sensitive changes, U:BIT may reasonably verify the identity or authorization of the user.

The user may request changes to their information or cancellation of their account through support.

After prior notice, U:BIT may cancel a long-term inactive FREE account, in particular if it has not been used for at least 24 months and its continued retention is not necessary for legal, security, or other legitimate reasons.

7. PRO License and License Keys

PRO functionality may be provided through a time-limited user license.

Available license types, periods, prices, and other parameters are governed by the current offer of U:BIT or an authorized seller.

Unless stated otherwise for a particular offer:

  • a license key may be added to an account and activated later,
  • the license period begins upon activation,
  • a used key cannot be activated again on another account,
  • an account may contain multiple license keys that have not yet been activated.

7.1 License Assigned to a User

One user PRO license is intended for one specific user.

The user may use Genexy on their devices to the extent permitted by the current functionality of the service, provided that the same person uses the account.

In particular, it is not permitted to:

  • share one personal PRO account among multiple users,
  • rent out an account,
  • transfer an activated license without authorization,
  • circumvent licensing or authentication mechanisms.

An organization requires the appropriate number of user licenses for the persons to whom it wishes to provide separate PRO access.

8. Sales Through Authorized Sellers

As of the effective date of these Terms, U:BIT does not sell license keys directly to end consumers. License keys for end customers are sold by independent authorized sellers.

If a customer purchases a key from an authorized seller:

  • the seller of the specific license key is the authorized seller,
  • the authorized seller determines the price, payment method, and invoicing in accordance with applicable law,
  • rights directly related to that purchase, payment, refund, or withdrawal from the purchase contract are exercised by the customer primarily against the seller,
  • U:BIT ensures the validity and technical activation of a legitimately issued key and provides Genexy itself.

This does not exclude any liability of U:BIT that cannot be transferred or excluded under mandatory law.

U:BIT may refuse or deactivate a license key that, in particular, was:

  • counterfeit,
  • created without authorization,
  • stolen,
  • already used,
  • obtained through fraud, unauthorized payment, or a fraudulent payment chargeback,
  • or does not originate from a legitimate distribution channel.

U:BIT may provide reasonable assistance to a good-faith customer in clarifying the origin of a disputed key.

8.1 Authorized Sellers

Only a business entity authorized by U:BIT to resell licenses may act as an authorized seller. An authorized U:BIT seller may only be a business entity with its registered office or place of business in the Slovak Republic.

An authorized seller is an independent business and is not an employee, legal representative, or person authorized to assume obligations on behalf of U:BIT unless otherwise agreed in writing.

The authorized seller is responsible in particular for:

  • its prices, invoicing, taxes, and payments,
  • its statutory information obligations,
  • consumer rights related to its sales,
  • the legality of its marketing,
  • and the accuracy of information it provides to customers.

An authorized seller must not issue unauthorized licenses or promise features, guarantees, or a service level agreement that U:BIT does not officially provide.

Specific commercial terms between U:BIT and an authorized seller, including prices, orders, invoicing, and the number of license keys, may be agreed upon at the time of ordering or by another written method.

9. Promotional, Testing, and Free Licenses

U:BIT may provide temporary or discounted PRO access to testers, partners, community members, campaign participants, or other persons.

Such authorization applies only within the specified scope and for the specified period and does not create an entitlement to continued free PRO functionality.

10. Alpha, Beta, and Early Access

Genexy may provide preliminary or experimental versions designated, for example, as Alpha, Beta, Preview, or Early Access.

Such versions may:

  • contain errors,
  • be incomplete,
  • change without prior notice,
  • have limited compatibility,
  • or be completely discontinued or replaced.

Within a testing program, U:BIT may change or disable features and terminate testing access to the extent permitted by law.

Testing versions may also be used for commercial projects, but the user acknowledges their increased technical risk.

The user must not treat Alpha, Beta, or another experimental version as the sole means of storing critical data.

11. Changes, Updates, and Availability

Genexy is continuously developed.

U:BIT may change, in particular, functionality, supported platforms, integration interfaces, limits, and the manner in which individual services are provided.

Updates may be distributed directly, through the application, or through the relevant distribution platform.

For security or compatibility reasons, use of certain online services may require a supported version of Genexy.

Unless a service level agreement has been agreed in writing, U:BIT does not guarantee any specific level of uninterrupted service availability.

With respect to consumers, changes to digital performance will be implemented and notified to the extent required by applicable law. This does not affect the consumer’s statutory rights to remedies or withdrawal from the contract.

12. License to Genexy Software

Genexy, its proprietary source code, design, interfaces, internal tools, documentation, and other protected elements are owned by U:BIT or the relevant licensors.

Subject to compliance with these Terms, the user receives a non-exclusive, non-transferable, and limited right to use Genexy for the duration and within the scope of their FREE or PRO authorization.

This does not transfer ownership of Genexy or intellectual property rights in the platform itself to the user.

13. Prohibited Use of the Software

Unless a binding legal provision expressly provides otherwise, the user must not, in particular:

  • redistribute Genexy without authorization,
  • sell or provide Genexy outside the authorized distribution model,
  • circumvent licensing or security mechanisms,
  • create unauthorized distributions,
  • obtain PRO functionality without authorization,
  • or remove intellectual property notices.

This provision does not limit rights to interoperability, decompilation, security analysis, or other acts granted to the user by mandatory law.

14. User Projects and Content

The user retains their rights to their own:

  • source code,
  • projects,
  • files,
  • documents,
  • databases,
  • configurations,
  • specifications,
  • and other content.

Use of Genexy does not transfer ownership of the user’s project to U:BIT.

Genexy is designed so that a significant part of work with a project can take place locally. Merely opening or editing a local project does not mean that the project is automatically provided to U:BIT.

U:BIT does not use the user’s source code or projects to train its own or third-party artificial intelligence models.

The user may knowingly send certain content to a third-party service, an artificial intelligence provider, or support. Such processing may be subject to the terms of the relevant third party and the Genexy Privacy Policy.

15. Generated Code and Outputs

U:BIT does not claim ownership rights in the user’s inputs or in outputs created for the user merely because they were created using Genexy.

To the extent that U:BIT would acquire transferable rights in such output, U:BIT permits the user to use, modify, reproduce, distribute, and commercially exploit the output to the fullest extent permitted by law.

This does not affect:

  • third-party rights,
  • open-source software licenses,
  • terms of artificial intelligence providers,
  • or statutory restrictions.

U:BIT does not guarantee that every output generated automatically or with the use of artificial intelligence is original, free of third-party rights, or eligible for copyright protection.

16. Open-Source Software and Third-Party Services

Genexy may use open-source software and integrate third-party services.

The relevant license applies to each specific open-source software component.

By using an external service, the user may enter into a separate legal relationship with its provider.

U:BIT is not responsible for decisions of an independent provider, such as changes to its API, pricing, available models, rules, availability, or discontinuation of the service.

17. Artificial Intelligence Features

Genexy may enable the use of various artificial intelligence providers, including services selected or configured by the user.

The user may send such a service, in particular:

  • an instruction or prompt,
  • source code,
  • file content,
  • project context,
  • or other information necessary to perform the task.

If the service is an independent third-party service, its processing is governed by its own terms and privacy policy.

The user must not send a third party data that they are not authorized to process or disclose.

17.1 Artificial Intelligence Outputs

Generative artificial intelligence may produce output that is inaccurate, incomplete, outdated, vulnerable, or non-functional.

The user is responsible for reviewing and verifying such output before use, particularly in a production environment.

U:BIT does not guarantee the accuracy, security, originality, or suitability of artificial intelligence output for a particular purpose.

18. Remote Access and Data Transmission

Genexy may enable remote connections between devices or systems.

Depending on the available technical method, the connection may be direct or may use U:BIT infrastructure to facilitate the connection.

If session content technically passes through U:BIT infrastructure, it is processed to the extent necessary to provide the relevant feature. U:BIT does not normally use such content for advertising profiling or for training artificial intelligence models and does not retain it as a recording of the working session unless a particular feature expressly states otherwise.

Technical metadata necessary for operation, security, diagnostics, or connection history may be retained in accordance with the Privacy Policy.

Unless a particular feature expressly states that it provides end-to-end encryption with specified properties, the user must not assume that every mode of remote connection is, in all circumstances, technically inaccessible to U:BIT.

The user may use remote access only in relation to devices, systems, and data to which they are authorized to have access.

19. Acceptable Use

Genexy is a developer tool and may also be used for legitimate security research, penetration testing, or development of security tools if the user has the necessary authorization.

Genexy must not be used for unlawful activities.

In particular, the following are prohibited:

  • unauthorized intrusion into systems,
  • attacks without the authorization of the system owner,
  • fraudulent acquisition of data,
  • theft of passwords or login credentials,
  • intentional distribution of malicious or ransomware software,
  • denial-of-service attacks or similar unauthorized attacks,
  • unauthorized circumvention of protective mechanisms,
  • abuse of Genexy infrastructure,
  • infringement of third-party rights,
  • or any other unlawful activity.

U:BIT may use reasonable security measures, request-rate limits, or fair-use rules to protect the service and its users.

20. Suspension or Termination of Access

U:BIT may reasonably restrict or suspend an account or online service, in particular in the event of:

  • a material breach of these Terms,
  • fraud,
  • unauthorized use of licenses,
  • an attack or attempted attack on Genexy,
  • a threat to the security of the service or other users,
  • or a lawful request from a competent authority.

In the event of an urgent security risk, U:BIT may act without prior notice.

Where circumstances permit, the measure taken should be proportionate to the nature of the breach.

21. Backups and Safety-Critical Use

The user is responsible for appropriate backups of their projects and data.

Genexy is not a guaranteed backup service for user projects unless a particular service expressly states otherwise.

Unless otherwise agreed with U:BIT in writing, Genexy is not certified as a primary system for environments in which software failure could directly lead to death, serious personal injury, or catastrophic damage.

The user is responsible for the necessary testing, professional verification, and certification of their resulting software.

22. Warranties and Nature of the Service

U:BIT strives to provide Genexy securely and reliably, but software cannot be guaranteed to be completely error-free.

To the maximum extent permitted by law and subject to mandatory consumer rights, U:BIT does not guarantee that:

  • the service will always operate without interruption,
  • every feature will remain permanently available,
  • Genexy will be compatible with every configuration,
  • all errors will be corrected,
  • every generated output will be correct,
  • or third-party services will remain available.

23. Liability Toward Professional Users

This section applies to users who use Genexy in connection with their business, commercial, or professional activities, to the maximum extent permitted by law.

U:BIT is not liable, in particular, for indirect or consequential damage, loss of profit, loss of business opportunity, business interruption, loss of goodwill, or damage caused by improper use of artificial intelligence output or a third-party service, where such liability may lawfully be excluded.

U:BIT’s total aggregate liability toward a professional user in connection with Genexy is limited to the amount paid for the affected service or license during the 12 months immediately preceding the event giving rise to liability.

If the affected service was provided entirely free of charge, U:BIT’s maximum aggregate liability is EUR 100.

These limitations do not apply where applicable law does not permit them.

24. Processing of Personal Data on Behalf of a Business Customer

This section applies only where a business or professional customer uses Genexy in a manner in which U:BIT processes personal data on behalf of the customer and U:BIT acts as a processor under the GDPR, while the customer acts as the controller.

In such a case, this section together with the other applicable provisions of these Terms constitutes a binding data processing agreement under Article 28 GDPR.

24.1 Subject Matter, Duration, Nature, and Purpose

The subject matter of the processing is the provision of the Genexy feature through which U:BIT technically processes personal data on behalf of the customer.

The processing continues for the period during which the relevant service is used and for the necessary period after its termination required for deletion of data, security, backups, or compliance with a legal obligation.

Depending on the feature used, the processing may include, in particular, transmission, facilitation, temporary processing, retention of technical data, security, or support.

The purpose of the processing is solely to provide the service in accordance with the customer’s instructions.

24.2 Data and Data Subjects

The scope of the data is determined primarily by the way in which the customer uses Genexy.

It may include, for example, identification and contact data, employment or business data, technical data, network identifiers, or content processed in the customer’s systems.

Data subjects may include, in particular, employees, contractors, customers, users, or other persons whose data the customer processes through the relevant service.

Genexy is not intended for the systematic processing of special categories of personal data on behalf of the customer unless the customer has a lawful basis for doing so and has adopted appropriate measures.

24.3 Customer Instructions

U:BIT processes personal data only on the basis of documented instructions from the customer.

Such instructions include, in particular:

  • these Terms,
  • the service configuration selected by the customer,
  • actions performed by the customer through Genexy,
  • and legitimate requests addressed by the customer to U:BIT.

If a legal provision requires processing beyond the customer’s instructions, U:BIT will inform the customer before the processing unless the law prohibits such information.

If U:BIT believes that a customer instruction infringes the GDPR or another binding data protection rule, U:BIT will inform the customer without undue delay.

24.4 Confidentiality and Security

Persons authorized to process personal data on behalf of U:BIT are subject to an appropriate duty of confidentiality.

U:BIT implements appropriate technical and organizational measures taking into account the nature of the service, the state of the art, and the relevant risks of processing.

24.5 Sub-Processors

The customer grants U:BIT general written authorization to engage sub-processors necessary to provide the service.

U:BIT will ensure that each sub-processor is bound by data protection obligations corresponding to the requirements of Article 28 GDPR to the extent of its processing.

If there is to be a material change of a sub-processor in relation to processing on behalf of a business customer, U:BIT will reasonably inform the customer and allow the customer to object on legitimate grounds relating to personal data protection.

If a legitimate objection cannot reasonably be resolved, use of the affected service may be terminated.

24.6 International Transfers

If processing on behalf of the customer involves a regulated transfer of personal data outside the European Economic Area, U:BIT will use a transfer mechanism permitted under the GDPR.

24.7 Assistance to the Customer

Taking into account the nature of the processing and the information available to U:BIT, U:BIT will provide the customer with reasonable assistance in relation to:

  • handling data subject rights,
  • ensuring security of processing,
  • notification of personal data breaches,
  • data protection impact assessments,
  • and compliance with other obligations under Articles 32 to 36 GDPR,

where those obligations relate to processing carried out by U:BIT on behalf of the customer.

24.8 Security Incident

If U:BIT becomes aware of a personal data breach relating to data processed on behalf of the customer, U:BIT will notify the customer without undue delay after becoming aware of it and will provide the available information necessary for the customer to comply with its legal obligations.

24.9 End of Processing

After termination of the relevant service, U:BIT will, depending on the nature of the service, delete the personal data processed on behalf of the customer or cease processing it, unless further retention is required by law or results from an authorized technical backup during its normal lifecycle.

24.10 Information and Compliance Review

U:BIT will provide the customer with information reasonably necessary to demonstrate compliance with the processor obligations under Article 28 GDPR.

If a review is necessary to verify compliance, the parties will agree on a reasonable method of carrying it out so that the security, confidentiality, infrastructure, or data of other customers are not unreasonably jeopardized.

24.11 Customer Obligations

The customer is responsible, in particular, for:

  • the lawfulness of the personal data and the purposes of its processing,
  • the existence of the necessary legal basis,
  • compliance with information obligations toward data subjects,
  • the lawfulness of its instructions,
  • and configuration and use of the service in accordance with applicable law.

25. Consumers and Withdrawal from the Contract

If the user acts as a consumer, no provision of these Terms deprives them of rights granted by mandatory law.

This applies in particular to rules concerning:

  • digital performance,
  • liability for defects,
  • updates,
  • remedies,
  • changes to digital performance,
  • withdrawal from the contract,
  • compensation for damage,
  • and court jurisdiction.

25.1 License Purchased from an Authorized Seller

If a consumer purchased a license key from an authorized seller, the contract for the purchase of the license key is concluded with that seller.

The consumer therefore exercises the right to withdraw from that purchase, obtain a refund, and exercise other rights related to the specific sale primarily against the authorized seller in accordance with the law and terms applicable to that sale.

The authorized seller is responsible for fulfilling its information obligations, obtaining any required express consent to begin performance before expiry of the withdrawal period, and complying with other consumer obligations related to its sale.

This does not affect obligations for which U:BIT is directly responsible under law or these Terms.

25.2 Possible Future Direct Sale by U:BIT to a Consumer

If U:BIT were in the future to enter into a distance contract with a consumer under which the consumer pays U:BIT directly for digital performance, the consumer has, where provided by law, the right to withdraw from the contract without giving a reason within 14 days.

For digital content supplied otherwise than on a tangible medium, the consumer may lose the right of withdrawal upon commencement of supply before expiry of the 14-day period only if the statutory conditions are met, in particular if the consumer:

  • gave express consent to commencement of supply before expiry of the withdrawal period,
  • declared that they had been duly informed that by giving such consent they lose the right of withdrawal once supply begins,
  • and U:BIT provided the confirmation required by law on a durable medium.

If the performance has the legal nature of a service, the consumer may, upon their express request, ask for the service to begin before expiry of the withdrawal period. The right of withdrawal expires after the service has been fully provided only under the conditions laid down by law.

Technical activation of a license alone, without fulfilment of the statutory conditions, is not automatically considered a waiver of the consumer’s right to withdraw from the contract.

26. Service and Marketing Communications

U:BIT may send messages necessary for operation of the service, such as email verification, security alerts, account or license information, and material legal or operational notices.

Marketing messages and newsletters are sent only on a legal basis permitted by applicable law.

Where consent is required, consent to marketing is not a condition of using Genexy.

The user may opt out of marketing communications in the manner stated in the message or through available settings.

27. Changes to the Terms

U:BIT may update these Terms, in particular, due to changes in:

  • functionality,
  • the business model,
  • security requirements,
  • the manner in which the service is provided,
  • or applicable law.

The current version will be published through Genexy or at genexy.io.

For material changes, the user may be informed by email, in the application, or by another reasonable method.

If applicable law requires a specific notice, consent, notice period, or right for the user to terminate the contract, the relevant statutory regime will apply.

28. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Slovak Republic.

A consumer is not thereby deprived of the protection of mandatory provisions of law that would apply to them in the absence of this choice of law.

The parties will, to a reasonable extent, first attempt to resolve any dispute amicably.

In business relationships, the courts of the Slovak Republic have jurisdiction to resolve disputes unless a binding legal provision or a separate written agreement provides otherwise.

Consumers retain all rules on jurisdiction and competence of courts that cannot be contractually excluded.

Where provided by law, a consumer may also use alternative consumer dispute resolution through the competent entity, in particular the Slovak Trade Inspection, if the dispute falls within its competence.

29. Force Majeure

To the extent permitted by law, U:BIT is not liable for failure to perform an obligation caused by circumstances beyond its reasonable control, such as a large-scale infrastructure outage, natural disaster, war, cyberattack, decision of a public authority, or a similar extraordinary event.

30. Final Provisions

If any provision of these Terms becomes invalid or unenforceable, this does not in itself affect the remaining provisions.

Failure by U:BIT to exercise a particular right in a specific case does not constitute a permanent waiver of that right.

U:BIT may transfer its rights and obligations to a legal successor in connection with a merger, acquisition, sale of the business, or transfer of Genexy, provided that the user’s rights are not unlawfully affected.

These Terms may be available in multiple language versions. The Slovak version is the original version and, in the event of any discrepancy, prevails to the extent permitted by applicable law.
